Terms of use
The agreement between 34orients Ltd and the organisation that subscribes to NiroStay. Plain enough to read before signing, specific enough to rely on afterwards.
1. The agreement
These terms govern the use of NiroStay, a property-management platform provided by 34orients Ltd, a company incorporated in the United Kingdom ("we", "us"). By creating an organisation, accepting an invitation, or using the platform on behalf of an organisation, you agree to them. If you do not agree, do not use the service.
Where an organisation has signed a separate subscription agreement, order form or data processing addendum with us, that document prevails over these terms to the extent of any conflict.
2. Definitions
- Service: the NiroStay platform, including the staff console, public booking pages, API and the emails it sends.
- Organisation: the business whose properties are managed in the service. One organisation is one subscription.
- Authorised user: a person the organisation invites to use the console.
- Customer data: everything the organisation or its guests put into the service — properties, units, rates, reservations, guests, folios, enquiries and messages.
- Guest data: personal data about a guest, processed by us on the organisation's instructions.
3. The service
We provide the service as described on this site and in the console. The service is software; it does not itself accept payments, hold funds, or act as a payment institution. Card payments are processed by a third-party gateway the organisation connects under its own merchant agreement. The service records what the gateway and the organisation's staff report, and computes balances from those records.
We may improve, change or retire individual features. We will not materially reduce the core functionality of a paid plan during a period that has already been paid for.
4. Accounts and authority
You must be at least 18 and have authority to bind the organisation you create or join. The information you give us must be accurate, and you must keep it current — particularly the billing email and the address used for security notices.
Credentials are personal. Do not share a login; invite a teammate instead. You are responsible for activity under your account, and you must tell us promptly at [email protected] if you believe it has been compromised. We may suspend a session that appears compromised while we investigate.
An owner can invite, change the role of, and remove authorised users. Removing a user ends their access but does not delete the audit history of what they did.
5. Trial
A new organisation is on a fourteen-day trial from the day it is created, unless a different period is agreed in writing. No card is required. If no plan is chosen, the account becomes read-only: data is retained, and nothing is charged. We may end or shorten a trial where it is being used to obtain repeated trials or to abuse the service.
6. Subscription, billing and taxes
Prices are published on the pricing page, in Nigerian naira, per organisation, and exclude VAT. The plan and cycle an organisation chooses are recorded in the console. A plan change during a paid period takes effect at the end of that period; a change during a trial takes effect immediately.
- Invoices are issued in advance for the period and are payable on the terms stated on the invoice.
- VAT and any other applicable tax are added and shown separately.
- We may change prices with at least 30 days' notice, effective from the next renewal. A price change does not apply to a period already paid for.
- Amounts paid are non-refundable except where Nigerian law requires a refund, or where we terminate the service for our own convenience.
- If an undisputed invoice remains unpaid 8 days after its due date, we may suspend new bookings after telling the organisation — the final reminder always arrives the day before anything stops. Suspension does not delete customer data.
7. Plan limits and fair use
Each plan has limits on units, properties and staff accounts. The console counts them from live rows. If an organisation exceeds a limit, we will tell it and allow a reasonable period to move plan or archive what it no longer runs; we will not delete a unit or a reservation to enforce a limit.
The service may not be used to resell access to third parties, to run a competing property-management service, or in a way that degrades availability for other organisations.
8. Customer data and guest data
The organisation owns customer data. We process it to provide the service, to secure it, and as required by law. The organisation is the controller of guest data and is responsible for having a lawful basis to collect it, for the accuracy of what it enters, and for responding to its guests' requests. We act as processor and will assist with those requests as described in the privacy notice.
We will not sell customer data, use it for advertising, or disclose it except to the subprocessors needed to run the service, or where legally required. A data processing addendum covering international transfers, subprocessors and breach notification is available with the subscription agreement.
9. Acceptable use
You must not: attempt to access another organisation's data; probe or scan the service without written permission; upload malicious code; use the service to send unsolicited marketing; enter unlawful content; or use it in a way that infringes another person's rights. We may suspend access for a serious or repeated breach, and will tell the organisation why.
10. Third-party services
The service connects to payment, email, channel-management and hosting providers. Their availability, fees and terms are their own. We are not responsible for a provider's outage, but we will tell the organisation what we know and will not charge for a period in which a material part of the service was unavailable because of our own failure.
11. Availability and support
We aim to keep the service available and to respond to support requests promptly. Self-serve plans do not carry a service-level agreement; an SLA is available on the Enterprise plan. Planned maintenance will be announced where it is likely to interrupt service.
Support is provided in English by email. Growth and Portfolio plans include priority support and onboarding; the scope of onboarding is confirmed in writing before it starts.
12. Intellectual property
We own the service, its code, its design and our marks. The organisation receives a non-exclusive, non-transferable right to use the service during its subscription. The organisation keeps all rights in customer data and in its own brand assets, and grants us the limited licence needed to display them on its booking pages and in its emails.
If you send us feedback, we may use it without obligation. Do not send us confidential information you would not want used that way.
13. Confidentiality
Each party will keep the other's non-public information confidential and use it only for the service. This does not cover information that is public, already known, independently developed, or required to be disclosed by law — in which case the disclosing party will be told where lawful.
14. Liability
Nothing in these terms limits liability for fraud, wilful misconduct, death or personal injury, or any liability that cannot be limited under Nigerian law.
Subject to that: (a) neither party is liable for indirect or consequential loss, loss of profit, loss of goodwill or loss of anticipated savings; and (b) our total liability arising from the service in any twelve-month period is limited to the fees paid by the organisation to us in that period. The organisation is responsible for the accuracy of the data it enters and for the acts of its authorised users.
15. Term, termination and export
The subscription runs for the period billed and renews unless cancelled before renewal. Either party may end it with 30 days' written notice. We may end it immediately for a material breach that is not remedied within 14 days of notice, or for non-payment after the process in section 6.
On termination, the organisation may export customer data for 30 days. After that we may delete it, except records we must keep by law. Sections that by their nature survive — confidentiality, intellectual property, liability and governing law — continue to apply.
16. Changes to these terms
We may update these terms. Material changes will be notified at least 30 days before they take effect, by email to the organisation's billing contact and on this page. Continuing to use the service after that date means accepting the new version. The version and date at the top of this page identify what you have agreed to.
17. Governing law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria. The parties will first try to resolve a dispute by discussion in good faith within 30 days. If that fails, the courts of Lagos State have exclusive jurisdiction. Nothing prevents either party from seeking urgent injunctive relief.
